GOVERNANCE STRUCTURE AT HORNINGLOW PRIMARY: A DE FERRERS TRUST ACADEMY

Horninglow Primary is an academy within a multi-academy trust namely The de Ferrers Trust.
 

The de Ferrers Trust is a charitable company limited by guarantee and as such they are required to comply with charity law and company law.
 

The Trust is one legal entity with one set of Articles of Association that governs each academy within the Trust.  The Trust has a Master Funding Agreement with the Secretary of State and then each academy has a separate Supplementary Funding Agreement.  All documents referred to throughout this page can be located below. 
 

Our Governance Structure

 

The Members

The trust consists of five members who are very similar to shareholders in a normal company.  They are often considered as the custodians of the trust and act as a ‘check and balance’ on the performance of the multi-academy trust.  The members have the power to appoint or remove trustees, amend the articles of association and, if necessary, wind up the multi-academy trust.  To ensure robust accountability within our governance structure the members are independent of the trust board.  The members will meet as often as is necessary to carry out their duties, but at least on an annual basis.

The Trust Board

The trust board has strategic oversight and ultimate responsibility for all of the management decisions within the multi-academy trust.  The board consists of up to  11 trustees, 8 of whom are appointed by the members.  The trustees are appointed purely on a skills basis.  The board’s key responsibilities are to ensure, through their governance structure and leadership team, that the multi-academy trust is making proper and effective use of public funds and for the quality of provision.    The trust board will meet as often as is necessary to carry out their duties, but at least five times per year.
 

The trust board has established two sub-committees to assist them, namely The Finance, Audit and Risk Committee and The Standards Committee.  Each committee operates with its own set of terms of reference which can be located at the bottom of this page.  The sub-committees will meet as often as necessary, but at least three times per year.

The Local Governing Body

A Local Governing Body (LGB) has been established for Horninglow Primary.  The LGB carry out the Trust’s vision, policies and priorities and engage with the academy's key stakeholders (our students, parents, staff and members of the community).  They will play a support & challenge role and will seek assurances on behalf of the board in regard to academic performance and quality of care and provision for this academy.  They are responsible for making decisions by way of the powers delegated to them by the trust board in accordance with the terms of reference and scheme of delegation (located at the bottom of this page).

The Principal of our academy also sits on our local governing body as a governor.  She is referred to as an ex-officio governor.  This means that she will remain a governor for as long as she is employed in her role as Principal.

Bio

I took up the post as Principal of Horninglow Primary School in September 2016.  Prior to this I was Co-Headteacher at Lansdowne Infants which is also in the de Ferrers Trust Academy.  I began teaching in 1997 when I worked in a middle school as a science specialist teaching Y5-Y8 science as well as literacy and maths to my KS2 form class.  I then moved to Millfield Primary School as KS2 and Science Coordinator before becoming Deputy Headteacher and gaining experience teaching in KS1.  I have two primary school age children who keep me very busy when I'm not working and are my inspiration. They ensure I stay focused on providing for the children at Horninglow, what I wish for them - the best possible education and opportunities.

Governors who are board appointed are appointed by the trust board.  Their term of office is 4 years.  At Horninglow Primary the governance structure allows for 3 board appointed governors.

Bio

I have spent more than 30 years working in the military and within the defence engineering industry.  I read engineering at university and have a Masters level Postgraduate Diploma.  I am a Chartered Engineer and Chartered Marine Engineer, a Member of the Institute of Marine Engineering, Science and Technology and Fellow of the Institute of Leadership and Management.  I am a technical reviewer for the Journal of Marine Engineering and Technology.

Bio

I joined the de Ferrers academy governing body when I was appointed to represent the local primary schools.  Prior to this I had been on the governing bodies of various schools since 1998.  I was previously Headteacher at Woodlands Junior School, an outstanding school in Kent, then Executive Headteacher at Castle Park and William Hutson Junior Schools prior to their amalgamation in 2009.  I then became Headteacher of the newly created Outwoods Primary School.  I retired from my post in August 2018.  In September 2018 I joined the LGB of Horninglow Primary.  My role on both LGB's is to provide the governing body with information about the primary sector which they can use to inform their role as strategic leaders.

Parent Governors

Parent governors are elected by the parents/guardians of the students who attend Horninglow Primary.  When a parent governor vacancy occurs, nominations are requested from all registered parents and guardians and an election takes place.  Their term of office is four years.  At Horninglow Primary the governance structure allows for 2 parent governors.

Bio

I have been a fully qualified teacher for many years and have a good working knowledge of the education system and current education policy.  I am able to bring a parent's perspective to Governing Board meetings whilst also having first-hand knowledge of the inner workings of a school environment. I play a variety of musical instruments and am involved with a local community wind band and other small music groups.

Bio

I volunteer for Horninglow Academy as a committee member of "The Friends of Horninglow". This role includes raising money through school activities involving children, parents and the local community.
After approaching the school in February 2017 to help improve the garden and outside area, I have since become a regular visitor and enjoyed working with the children helping them understand the basics of gardening and growing vegetables and flowers. I joined the Lunchtime supervisors in Feb 2018 and enjoy helping out in other classes when I am needed. I have recently started working in Reception assisting the teaching staff with the morning duties.

The Staff Governor is elected by the staff based at Horninglow Primary.    When a staff governor vacancy occurs, nominations are requested from all members of staff based at Horninglow Primary and an election takes place.  Their term of office is four years.  At Horninglow Primary the governance structure allows for 1  staff governor.

Bio

Having begun my post qualification teaching career at Horninglow seven years ago I have had experience of teaching across Key Stage 1 and Key Stage 2.  Currently I am the Year 6 class teacher and also lead on Maths across the School.  I have developed a maths club which together with strategies across the School have contributed to an improvement in maths attainment in all year groups.  In addition, I led on the introduction of assessment and recording of data to ensure that the data is robust.  Horninglow has been a school in special measures and my experience includes working closely with HMI to improve outcomes for the children.  Outside of school I am a keen fisherman and enjoy spending time with my family.

 

Co-Opted Governor

At Horninglow Primary the governance structure allows for the local governors listed above to co-opt up to three further governors to the local governing body in order to bring a specific skill set that will add value to the academy, making local governance even more efficient and effective.  Co-opted governors have a term of office of four years.

Bio

I am a retired management accountant who has held senior positions in finance, operations, human resources and IT project management. Most of my career was at Royal Mail with leadership responsibilities for teams of up to 1100 people across the UK. I also have extensive experience of leading people through organisational change and management of large IT programmes. Prior to my retirement, I was Client Director for a company providing employee relations advice to clients in the public and private sector.

I have worked in a number of voluntary roles including being a Prince’s Trust mentor to young people starting up businesses and on the Business in The Community partner in leadership schemes. I have also been an advisor to the Young Enterprise Scheme in schools in Burton on Trent and Birmingham.
